Job Description:
We are seeking a Corporate Lawyer with 5-6 years of experience to join our legal team at Niche Agriculture and Pharmaceutical Limited. As a Corporate Lawyer, you will play a crucial role in providing legal counsel and support to our company in various corporate matters, including compliance, contracts, mergers and acquisitions, intellectual property, and regulatory affairs.
Responsibilities:
• Provide legal advice and support on corporate governance, compliance, and regulatory matters to ensure the company's operations align with legal requirements and best practices.
• Draft, review, and negotiate a wide range of contracts, agreements, and legal documents, including but not limited to, commercial contracts, licensing agreements, and employment contracts.
• Assist in mergers, acquisitions, joint ventures, and other corporate transactions, including conducting due diligence, drafting transaction documents, and managing closing processes.
• Manage intellectual property matters, including trademark registrations, patent applications, and enforcement of intellectual property rights.
• Collaborate with internal stakeholders, including senior management, finance, operations, and research and development teams, to provide legal guidance and support on business initiatives and projects.
• Stay updated on relevant laws, regulations, and industry trends affecting the agriculture and pharmaceutical sectors, and provide proactive advice to mitigate legal risks and capitalize on opportunities.
• Represent the company in legal proceedings, negotiations, and interactions with external parties, including government agencies, regulatory bodies, and legal counsel.
• Assist in developing and implementing legal policies, procedures, and training programs to promote legal compliance and risk management across the organization.
Qualifications:
• Bachelor's degree in Law from a reputable institution; additional qualifications such as LL.M. would be a plus.
• Admission to the Bar Council of India and a valid license to practice law in India.
• 5-6 years of relevant experience in corporate law, preferably with a focus on the agriculture, pharmaceutical, or related industries.
• Strong understanding of corporate legal principles, regulations, and compliance requirements applicable to public and private companies.
• Proven experience in drafting and negotiating commercial contracts, mergers and acquisitions, and intellectual property matters.
• Excellent communication, negotiation, and interpersonal skills, with the ability to interact effectively with internal and external stakeholders.
• Detail-oriented with strong analytical and problem-solving abilities.
• Ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
